Plaintiff is a former employee of Read-Rite Corporation. Defendant Kadah is the president and principal
shareholder of defendant Solid State Optronics Inc. (SSO). Through 1988, SSO was strictly a manufacturer of
relays and was a struggling enterprise. Over the next several years, annual sales reached $20 million.
