Facts

Defendants Acquiring Solutions, Steven Peisner and Mike Fisher agreed to open a credit card merchant account for Dish Direct Inc. and to process credit card orders for Dish Direct's products through this account. After opening the account, the defendants failed to account for, or remit to Dish Direct, large sums from credit card orders processed by the defendants. The defendants contended that they had no contractual relationship or obligations to the plaintiff.
