Facts

Ho, Aoki and two other investors co-founded Apres Technologies in 1997 to develop electronic design
automation (EDA) tools for use in the manufacture and design of microprocessors.
A summary judgment dismissed an initial lawsuit claiming close to $2 million in damages brought by Apres
and Aoki against Ho. All five of Apres' and Aoki's causes of action for tortious interference and trade libel
were dismissed by the court on March 14, 2002, leaving only Ho's claims remaining in the case.
On May 8, 2002, a unanimous Santa Clara County Court jury returned verdicts for
breach of fiduciary duty and breach of contract in favor of the cross-defendant William Ho and
against Apres Technologies Inc. and its president, Joseph Aoki. The jury voted 11-1 against a
finding of fraud.
