Facts

The State of California sued Valero Energy Corp. in relation to Valero's attempt to purchase two petroleum storage terminals that were located in Northern California.

Contentions

PLAINTIFF'S CONTENTIONS: The state claimed that the transaction would harm consumers and competition by raising petroleum prices throughout Northern California and Nevada. The state brought claims against the transaction under the Clayton Act and the California Business and Professional Code.

DEFENDANTS’ CONTENTIONS: Valero denied the allegations.

Result

Valero and its affiliates agreed not to purchase the pipelines or storage terminals for the next ten years, and to give the California Attorney General's Office written notice if Valero or its affiliates attempt or seek to acquire them after that time.
