Facts

On March 29, 1986, Defendant City of Burbank approved a management agreement with Plaintiff Tim Pinch Productions, Inc., to operate the Starlight Amphitheater. Plaintiff did so without incident until December of 1988 when the contract was terminated by the City, who claimed that Plaintiff had breached.
