The three individual plaintiffs were business partners with the defendant in the three plaintiff businesses. The defendant was the CFO. The plaintiffs contended that the defendant lied about his qualifications, embezzled money from the business, concealed his embezzlement, and mismanaged the business. The defendant contended that all owners were jointly involved in management decisions and consented to all transactions. The plaintiffs, the business owners and the businesses, brought this action against the defendant CFO based on fraud, breach of fiduciary duty and negligence theories of recovery.

The plaintiffs made a settlement demand for $500,000. The defendant made a C.C.P. º998 offer of compromise for $50,000.
