On May 9, 1992, plaintiff, Shahrokh Shahid, a long-time Persian singer of international renown, entered a distribution agreement with defendant, Caltex Trading, for the distribution of six albums which plaintiff Shahid was to produce. Only a few albums were delivered by plaintiff for distribution. Plaintiff Shahid subsequently sued claiming that defendant Caltex failed to finance the production and sales of his albums and claimed $650,000 in damages. The agreement stated that all production costs were to be paid by plaintiff. The plaintiff brought this action against the defendants based on breach of contract and fraud theories of recovery.
