In 1992, defendant Ter Hill as CEO of defendant Rain Master Irrigation, Inc. hired plaintiff Leonard Lastuck, as president and CEO of Rain Master. The plaintiff was promised an opportunity to purchase Rain Master if he turned it around. There was no discussion of terms regarding the possible sale. Negotiations ensued in 1995 for the possible purchase of Rain Master. In December 1995, the plaintiff was terminated as president and CEO of Rain Master for mistreatment of employees and poor management. Prior to termination, Hill met with two key employees to inform them of the decision and reasons for termination. Hill then terminated plaintiff and Rain Master was not sold to him.

The plaintiff made a settlement demand for $750,000.
