Facts
STM Wireless Inc. (Wireless) entered into a business relationship with Clay Pacific S.R.L. (Clay) in Bolivia in 1999. Clay served as Wireless' local agent to sell telephone equipment to the Bolivian market. The relationship was mutually rewarding but very stormy. In February 2002, Wireless filed for bankruptcy protection. In a court ordered sale, a new company bought the assets of Wireless to create STM Networks Inc. (Networks). In August, Network shipped products to Clay at a price of $485,100 which Clay received and sold. Clay refused to pay for the products claiming Networks owed money to Clay.

The parties were unable to reach any settlement.
