Facts

The plaintiff, R Systems Inc., a contract software developer, claimed fraudulent conveyance and successor liability. The defendants were TransComp Systems, a supplier of software to the waste managment industry; Tom Stull, the president of TransComp; and Jon Schroeder, the general manager of TransComp. The plaintiff contracted to provide software developments services to Stage 1 Development Inc. TransComp was a customer of Stage 1. Defendant Stull loaned Stage 1 money to allow it to complete development of TransComp's product. Stage 1 ultimately went out of business, and TransComp purchased certain of its assets and hired certain of its former employees. R Systems alleged that this gave rise to liability for intentional and constructive fraudulent transfers. The plaintiff also alleged that TransComp was liable to it as Stage 1's successor.

Settlement Discussions

The plaintiff made a C.C.P. Section 998 demand for $35,000. The defendants offered a waiver of costs in exchange for dismissal.
