Facts

According to the defendant: In early April 1997, plaintiff Helen Vo allegedly met separately with Trung Hoang
Pham, Anh Hoang Pham and Teresa Do to discuss the possibility of forming a business organization to
promote the sales of a product known as Noni Powder.
Subsequently, the defendants organized their Noni selling business into A-1 Top World Products, a limited
liability company, and required certain capital contribution from both the plaintiff and the defendants.
The plaintiff alleged that she had put in her required capital contribution by services, products and cash.
The defendants denied receiving such contribution from the plaintiff. The plaintiff also alleged that since her
signature exists in a Member Operating Agreement with defendants Trung Pham and Anh Pham, her
membership is valid.
On May 1997, the plaintiff signed a Statement of Information as a manager submitted to the Secretary of State
together with defendant Anh Pham. In June 1997, the defendants removed the plaintiff from participating in A-
1 Top World Product, LLC and never distributed any profits to the plaintiff.
The issue at trial was whether the plaintiff contributed her required capital to become a
member of A-1 Top World Products and if so, the plaintiff would be entitled to at least 35 percent
of the companyÆs share and $200,000 as compensatory damages as lost profits. A court-ordered
accounting was submitted and approved by the court.
