Facts

In 1992, defendant North American Chemical Company, entered into a contract with a company called SMS Industrial Lime Sales, which expired in 1995. The plaintiffs were sales agents for SMS, but continued sell the product (lime) after expiration of the contract. In June 1996, they were excluded from further activity because NACC entered into an exclusive contract with another company. The plaintiff brought this action against the defendant based on breach of contract and fraud.

The plaintiff made a settlement demand for $12 million. The defendant made no offer.
