On March 30, 1993, defendant Robert Moon, a director and shareholder of Laser Ionics, Inc., a Nevada corporation, discussed with plaintiff Chan Yoon Ko, the possibility of investing money in the Laser Ionics corporation. In March 1993, a written agreement was entered into, whereby plaintiff Ko would pay $85,000 to the company for 85,000 shares. The parties contracted for Ko to become the exclusive distributor to Korea of all of the corporation's manufactured medical lasers because of the agreement. The corporation was unable to complete the new development of laser technology and in late 1996 the corporation dissolved, resulting in a loss to all shareholders. The plaintiff brought this action against the defendant based on breach of contract and misrepresentation theories of recovery.
