Krautheimer oversaw the largest deal in Sullivan & Cromwell’s history this last year. He helped close the tentative agreement for his client Amazon to acquire Whole Foods Market Inc. The all-cash transaction was valued at approximately $13.7 billion.

In another large deal, AT&T came to Krautheimer to facilitate its $108.7 billion purchase of Time Warner Inc. — a complex deal that was negotiated by Krautheimer and the Sullivan & Cromwell team over the course of just one week.

The transaction, the largest announced in 2016, will make AT&T a major player in the consumer entertainment field. This acquisition will uniquely position the communications company, allowing it to make more content available on an ever greater number of devices around the world.

Krautheimer is also representing AT&T as a member of a group of sellers led by Cerberus Capital Management L.P. in connection with the sale of YP Holdings to Dex Media Inc. The deal is still pending. He also represented AT&T in its $67 billion acquisition of DirecTV in 2015.

“It’s what we do here every day basically,” he said. “It’s great to be affiliated with teams like that, to be affiliated with clients like Amazon and AT&T. They have tremendous in-house M&A capabilities.”
