In one of the year's most attention-grabbing transactions, Kelly advised Palm Inc. in its sale to Hewlett-Packard Co. for $1.4 billion, which closed in June. Preceding its sale, Kelly also helped Palm raise more than $500 million in two separate SEC-registered stock offerings.
On the tail of the Palm sale, Kelly represented Roper Industries Inc. in its $525 million cash purchase of iTradeNetwork Inc., and soon afterwards he led Oracle Corp. to its $685 million acquisition of Phase Forward Inc.
A founder of Davis Polk's Menlo Park office, Kelly also acts as corporate counsel to technology companies such as Affymetrix Inc. and Oracle Corp. and as special counsel to boards of directors at companies like KB Home and Guaranty Financial Group.
Outside of work, Kelly welcomed his first grandchild into the world this year, and bottled the wine from his 2007 harvest of Cabernet grapes from his Portola Valley vineyard.
