LOS ANGELES - As a partner in Crowell & Moring's corporate and health care groups, Renée Delphin- Rodriguez's practice has lately focused on M&A and collaboration agreements involving health plans' efforts to deliver efficient, value-based care.
"Providers and health plans are trying to work together to make the delivery of health care services efficient," she said. As part of value-based care, plans reward providers for activities that keep costs low by, for instance, incentivizing them to use diagnostic tests and preventive procedures more often.
She said her practice involves helping her clients analyze and evaluate "the deal structuring, the financial terms, the outcomes and some operational considerations" of M&A and other transactions.
Early this year, Delphin-Rodriguez led the acquisition by Nevada-based P3 Health Partners of a health care service plan and a medical group in California's Central Valley. The transactions were the population health-management company's first ventures into California. Delphin- Rodriguez handled all the regulatory and transactional matters in connection with the deal.
Recently, she has been working on a growing number of deals involving health care tech, such as apps, digital health tools, telehealth platforms and others. "We see providers and payers thinking about acquiring these tools to help them in value-based care delivery," she said.
She can't talk about the most high-profile tech-related transaction she is currently working on. Delphin- Rodriguez is coleading the Crowell team advising Amazon on the health care and regulatory aspects of its acquisition of One Medical, a technology-powered national primary care organization. The all-cash deal is valued at about $3.9 billion.
Another trend is health care plans developing consumer-friendly ways to deliver care. In March, she and her team completed one Medicare Advantage plan's acquisition of a medical group that focuses on in-home care. "In one deal, I had a health plan thinking critically about how to serve the senior population," she said. "They saw an opportunity to add a medical group that meets patients where they are and does care coordination."
Outside of work, Delphin-Rodriguez sits on the boards of Planned Parenthood of Los Angeles and of Homeboy Industries. "Both are really close to my heart," she said.
