H.R. Mashhoon and Carol Perrin were members of CMW Technology LLC, a semiconductor company, who sought to dissolve the company and the return of their capital investments. Mashhoon and Perrin sued CMW and several other members of the company, including Ashley and Damon Cusato, Robert Washburn, and Robert McClanahan alleging negligent and intentional breach of fiduciary duty, fraud, and unlawful recording of confidential information.
Defendant filed a cross-complaint against Mashoon seeking in excess of $10 million for his alleged underfunding of the company and breach of fiduciary duty.

Mashhoon sought the return of his $775,000 capital investment.
Result
Mashhoon successfully dismissed defendants' cross-complaint in its entirety and thereafter obtained a judgment for the dissolution of the company, entitling him to recover his $775,000 capital investment before any other distribution of company assets is made.
