The Booth Family Trust filed a class action against Williams Pipeline Partners, L.P. and others in connection with the Williams Pipeline Merger and Merger Agreement. The complaint alleged breach of fiduciary duties in connection with the Merger and Merger Agreement by failing, among other things, to conduct proper sale process and disclose sufficient information.
Result
The parties signed a stipulation to settle the matter, whereby Williams Pipeline Partners, L.P. would include certain supplemental information relating to the merger in its Final Proxy, which plaintiff considered important for Williams Pipeline Partners, L.P. common unit holders to receive and be able to consider in deciding how to cast their votes with respect to the proposed Merger.
