Facts

Plaintiff Internet Brands Inc. purchased the Ultimatecoupons.com web site from defendant. Plaintiffs filed a suit claiming multiple frauds and breaches of contract.

Defendant claimed that the fraud claims were meritless and filed a motion for summary judgment. Defendant also filed a counter claim.

PLAINTIFF'S CONTENTIONS:
Plaintiff contended they refused to pay the third year earnout because of defendant's alleged multiple frauds and breaches of contract.

COUNTER-CLAIMANTS' CONTENTIONS:
Defendant/counter-claimants claimed breach of contract because of Internet Brands refusal to make the final payment or allow counter-claimants to conduct an audit.

Result

The jury found in favor of the defense on plaintiff's claims and returned a verdict for counter claimants on all counterclaims. Plaintiff's motion for directed verdict was granted in part, $30,000 remittitur. Pending motion for an award of attorney fees, audit fees, and costs in excess of $620,000.
