CLAIMANT'S CONTENTIONS: Shaw contended that respondents wrongly accused him of operating an outside business activity without approval when he worked for Summit. Shaw asserted causes of action for dereliction of duty, lack of proper discovery and oversight.

RESPONDENTS' CONTENTIONS: Respondents denied the contentions.
