Facts

Gerald Wheeler sued defendants Northern Lights Capital Partners LLC, Northern Lights Capital Group LLC, and Treasury Group Ltd., for breach of contract and intentional interference with contractual relations relating to a merger transaction.

Contentions

PLAINTIFF'S CONTENTIONS:
Wheeler contended that pursuant to the operating agreement between himself and Northern Lights Capital Group LLC, Wheeler had a right of first offer in the event of a contemplated sale of one of Northern lights' asset management firms contained in its portfolio of companies. He alleged that Northern Lights breached the agreement by entering into a merger agreement with Treasury Group Ltd., who plaintiff claimed, intentionally interfered with the contract.

DEFENDANTS' CONTENTIONS:
Defendants contended that they were entitled to prevail on their demurrer because Wheeler failed to allege facts sufficient to constitute a cause of action on either claim.

Result

The court sustained defendants' demurrer.
